PhotoBook Biz

This agreement is between "Kim M. Guymon dba PhotobookBiz", hereafter called "PhotobookBiz", and the person below, hereafter called "Client". This agreement establishes a relationship between PhotobookBiz and a client wishing to start a business selling photo books and gifts in partnership with PhotobookBiz and Rocket Life. A separate agreement with Rocket Life will be signed by client before receiving access. Any dispute involving the payments made to Rocket Life in order to open up their account and/or the annual payment to them shall be settled between Client and Rocket Life as those monies are payable directly to them.

Client understands that he or she is making an agreement of support from PhotobookBiz intended to assist client in developing a successful photo book and gift business. However, PhotobookBiz gives no warranty or guarantee that this relationship will deliver specific results. This information is provided to you on an "AS-IS" basis. PhotobookBiz disclaims all warranties and representations, whether express, implied, or otherwise, including the warranties of merchantability or fitness for a particular purpose. Each PhotobookBiz client will operate as an independent business and shall obtain the proper business licenses and permits required for their local community and shall be responsible for paying any and all local, state and federal taxes. Payments of commissions for the sale of products through the client's personal Rocket Life site shall be payable to client via PhotobookBiz. Client will be required to provide full name and address to PhotobookBiz in order to receive payments. Payments for sales will be made monthly via check on a date to be determined.

PhotobookBiz shall not be liable to you or any third party for any indirect, special, incidental, punitive, cover or consequential damages arising out of the use of, or inability to use, this information and based on any theory of liability including breach of contract, breach of warranty, tort (including negligence), product liability or otherwise. PhotobookBiz reserves the right to cancel any account deemed to be operating in an unethical or illegal manner. This agreement shall be governed by the internal laws of the State of Washington, without giving effect to principles of conflict of laws. You hereby consent to the exclusive jurisdiction and venue of the state courts sitting in Snohomish County, Washington or the federal courts in the NW area of Washington State to resolve any disputes arising under this agreement. This agreement contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written.
