Product to purchase: Business Startup Guide Only

These agreements are between "Kim M. Guymon dba ScrapBiz", hereafter called "ScrapBiz", and the person below, hereafter called "Client".

Client shall be entitled to a refund and cancellation of this contract any time BEFORE the ScrapBiz package is received. In order to protect the nature of intellectual property, once the package is opened, no refund will be allowed. If client desires to cancel this contract and receive a refund, the ScrapBiz package must first be returned (at client's expense) in its entirety and in an intact condition.

The purchase of the "ScrapBiz Business Start-up Guide" and purchase of a subscription to the "ScrapBiz Member Support” program entitles client to personal business use of the information included in this package. If this information is being purchased for use in a partnership or company-wide use rather than for personal business use, and/or client intends to duplicate any information included in this initial package, the client must acquire either a partnership license or an enterprise license from ScrapBiz appropriate to the level of usage. Member logo may ONLY be used by ScrapBiz Members in good standing. In the event that the client discontinues their membership in ScrapBiz, the ScrapBiz Member logo must immediately be removed from all client's marketing materials. Client may no longer identify herself/himself as a Member and thus gives up all the rights and benefits of the ScrapBiz Member Support program including all special vendor plans that ScrapBiz has negotiated with scrapbooking product manufacturers and vendors. Upon notification that client is no longer a ScrapBiz Member, vendors retain the right to withdraw benefits (including lower order minimums and special pricing plans) intended for ScrapBiz members in good standing.

The monthly subscription fee for the ScrapBiz Member Support Program shall be due on or about the monthly anniversary of the initiation of client's subscription, or on or about the quarterly anniversary for quarterly subscriptions. By acceptance of this agreement client agrees to automatic billing on a monthly or quarterly basis via credit card or checking account through Paypal until cancelled by client. The membership subscription can be cancelled by client at anytime. However, if client has paid the special Startup Package price which assumes access to the Member Support Program, client shall be responsible for a minimum of 3 months or one quarter of subscription fees.

Other than that information, specifically shown as approved for duplication and distribution, the client shall not make or distribute copies of this package, or distribute it or disclose it to others, unless this duplication, distribution or disclosure is specifically approved by ScrapBiz. This agreement gives the client a limited license to use the information in this package. ScrapBiz retains all right, title and interest, including all copyright and intellectual property rights, in and to, the Information and all copies thereof. The Start-Up Guide and Support Program membership are not transferable to any other party and may not be resold in any form. All rights not specifically granted in this agreement, including Federal and International Copyrights, are reserved by Kim M. Guymon dba ScrapBiz. Client understands that he or she is purchasing information that is intended to assist client in developing a successful scrapbooking business. However, ScrapBiz gives no warranty or guarantee that use of this package will deliver specific results. This information is provided to you on an "AS-IS" basis. ScrapBiz disclaims all warranties and representations, whether express, implied, or otherwise, including the warranties of merchantability or fitness for a particular purpose.

ScrapBiz shall not be liable to you or any third party for any indirect, special, incidental, punitive, cover or consequential damages arising out of the use of, or inability to use, this information and based on any theory of liability including breach of contract, breach of warranty, tort (including negligence), product liability or otherwise. This agreement shall be governed by the internal laws of the State of Washington, without giving effect to principles of conflict of laws. You hereby consent to the exclusive jurisdiction and venue of the state courts sitting in Snohomish County, Washington or the federal courts in the NW area of Washington State to resolve any disputes arising under this agreement. This agreement contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. Furthermore, client agrees to conduct their business according to the ScrapBiz Code of Conduct which follows:
  • I will provide the best service possible to my customers and present myself in a professional manner
  • I will be a good "Retail Citizen” and seek to build my business in appropriate ways that will not intentionally harm the businesses of others –both inside and outside ScrapBiz
  • I will conduct my business in an ethical and honest manner and not misrepresent myself or my business activities to wholesalers
  • I will abide by the policies and rules of each individual wholesaler and respect their wishes regarding the sale of their products.
  • I will have fun
  • will respect the time of vendors and their customer service reps
  • I will continue to educate myself about new techniques to provide my customers with fresh ideas
  • I will not speak negatively of my fellow ScrapBiz members.
  • I will not disclose proprietary information from the ScrapBiz message board including pricing, wholesaler contact info, others business ideas, etc
